Statutes of the Guitar Association Weimar e.V.

§ 1    Name, registered office, financial year
1.    The association is called the Guitar Association Weimar and is entered in the association register.
2.    The association is based in Weimar.
3.    The fiscal year is the calendar year.

§ 2    Purpose of the association
1.    The association operates selflessly; it does not primarily pursue its own economic purposes.
The association pursues exclusively and directly charitable purposes within the meaning of the “Tax-privileged purposes” section of the tax code.
2.    The association's funds may only be used for statutory purposes.
3.    The members do not receive any donations from the association. No person may benefit from expenses that are alien to the purpose of the association or from disproportionately high remuneration.

§ 3    Aim of the association
1.    The goals of the association are to promote
– artistic guitar playing at regional, national and international levels,
– the educational, artistic and scientific areas of guitar and lute playing
– of young artists.
2.    This happens, among other things, through:
– Organizing the international Anna Amalia competition for young guitarists
– Organizing concerts, seminars and youth music courses
– Awarding of composition orders
– Encouraging scientific publications
– Maintaining national and international relationships
3.    The association pays particular attention to supporting and maintaining the “Weimar Guitar School”.
4.    The  association is active in public. It represents Weimar as a classic and cultural city in Europe and sets both artistic and educational accents within the scope of its possibilities.

§ 4    Membership
1.    Members can be natural and legal persons who feel connected to the purpose and goal of the association.
Supporting members can be natural and legal persons who also regularly support the association financially in a special way.
2.    Membership is applied for in writing. The board of directors will provisionally decide on admission and will have to submit its decision to the next general meeting for a vote.
3.    If membership is rejected by the board, the applicant has the right to appeal to the general meeting.
4.    Membership is not tied to national, denominational, class or political or other requirements.
5.    Membership ends by written declaration of withdrawal at the end of the respective calendar year, by exclusion or death.
Exclusion is possible if a member violates the goals and purpose of the association or has not paid a contribution for a longer period of time.
The board decides on the exclusion; the member can appeal to the general meeting.
6.    The club members do their best to achieve the goals of the club.
7.     When a member joins, the association records the member's personal data. These are treated confidentially, used exclusively for club purposes, in particular for member administration and information, and may not be passed on to third parties without the member's consent.
When you leave the club, all of the member's personal data will be deleted from the member administration. However, personal data of the departing member that relates to cash management must be retained in accordance with tax regulations until the end of the 10th year following the departure.

§ 5    Honorary membership
1.    Honorary members can be natural persons whose work is of crucial importance for the development of artistic guitar playing and whose membership represents a special honor for the association.
2.    The general meeting decides on the appointment based on suggestions from the members.

§ 6    Amount of the membership fee
1.    The amount of the contribution is determined by the general meeting.
2.    The contribution is to be paid in the first quarter of the year.
3.    In cases of social hardship, the board can grant a reduction or suspension of the membership fee upon request.
§ 7    Organs of the association
The association's organs are:
a)    the general meeting
b)    the board

§ 8    The general meeting
1.    The tasks of the general meeting are:
a)    Confirmation of the activity and cash report
b)    Discharge of the board of directors
c)    Election of the board for a period of 3 years
d)    Appointment or election of an auditor who is not a member of the board
e)    Admission or exclusion of members
f)    Appointment of honorary members
g)    Change to the Articles of Association
h)    Special measures, requests from members
i)    Dissolution of the association
2.    The general meeting must be convened once a year with 4 weeks' notice and the agenda. The invitation is sent via email and through publication on the association’s website.
Members who expressly request this will receive a written invitation by post.
3.    An extraordinary general meeting must be called at the request of at least a quarter of the regular members or by resolution of the board.
4.    Resolutions are passed by a simple majority of the full members present.
5.    Changes to the statutes and the dissolution of the association require a 2/3 majority of the full members present.
6.    Each full member has one vote. In the event of a justified absence, a written vote is possible.
7.    The general meeting is chaired by the chairman, the deputy or another board member.
8.    The minute taker must prepare minutes of the general meeting, which are signed by the chair of the meeting and the chairman or deputy.

§ 9    The Board
1.    The board consists of:
Chairman/r
Deputy
Treasurer
Secretary
up to three assessors
2.    Only members in accordance with Section 4 of these statutes can be elected to the board.
3.    The honorary members belong to the board with an advisory vote.
4.    The board makes its decisions with a simple majority and carries out its work on a voluntary basis. Re-election is possible. If a member leaves, the board can appoint a successor, who must be confirmed at the next general meeting.
5.    The board has the following tasks:
a)    Suggestion, organization and implementation of projects in accordance with § 3
b)    Adoption of the activity report
c)    Implementation of ongoing tasks based on the resolutions of the general meeting
d)    Proposal from honorary members
e)    Convening the general meeting
6.    The Board of Directors may delegate certain functions and tasks to a managing director, another personality, an institution or an organization.
7.    The chairman or the deputy represent the association in and out of court.
You can grant power of attorney to other board members.

8.    Changes to the Articles of Association that are required by supervisory, judicial or financial authorities for formal reasons can be made by the Board of Directors on its own initiative. These changes to the statutes must be communicated to the next general meeting.

§ 10    Cash audit
1.    The cash audit must be carried out annually by a cash auditor (§ 8.1).
2.    The result must be recorded in writing and signed. The result is presented to the general meeting, which confirms the report.

§ 11    Dissolution of the association
1.    The dissolution of the association can only be decided in a general meeting called specifically for this purpose with the majority of votes specified in § 8.5.
2.    The liquidation is carried out by the board.
3.    If the association is dissolved or if tax-privileged purposes cease to exist, the assets go to the Society of Friends and Supporters of the University of Music FRANZ LISZT Weimar e.V., which must use them exclusively and directly for charitable purposes.

§ 12    Entry into force
This version of the statutes was approved by the general meeting on September 25, 2016 and replaces the previously valid version with immediate effect.
